Terms of use

These terms set out how companies may use the Noverbill freight invoice audit platform — accounts and approval, plans and billing, acceptable use, and how audit outputs should be treated.

The agreement

These terms form an agreement between Noverbill Technologies Inc. and the organisation whose representative creates a workspace on noverbill.com. By completing onboarding you confirm you are authorised to accept these terms on behalf of that organisation.

Eligibility and accounts

  • The service is offered to businesses registered in Canada and the United States.
  • Registration requires a corporate email address; free mailbox domains are blocked.
  • New workspaces start in a pending state. Auditing unlocks once an administrator approves the company or a paid plan is activated.
  • You are responsible for the accuracy of your company details, for the actions of every user you invite, and for keeping credentials confidential.

Plans, trials and billing

  • Free workspaces include a limited number of audits; paid plans include a 5-day trial.
  • Subscriptions renew automatically for the selected term until cancelled. Charges are processed by our payment provider in USD, or in CAD for Canadian companies.
  • Audits beyond your plan allowance are billed at the published overage rate or drawn from purchased top-up credits.
  • Cancelling stops future renewals; fees already paid are non-refundable except where required by law.

Acceptable use

  • Do not upload documents you have no right to process, or consumer personal data.
  • Do not attempt to access another workspace, probe our infrastructure, or bypass limits.
  • Do not resell, sublicense or scrape the service, or create multiple accounts to extend free usage.
  • Do not use the platform for unlawful, fraudulent or abusive purposes.

Your data and our role

You retain ownership of the invoices, rate cards and workspace records you submit. You grant Noverbill the rights needed to host, parse, audit and display that content in order to provide the service. We process it on your instructions as described in the privacy policy.

Audit results and dispute correspondence

Audit findings, variance calculations, exchange-rate checks and generated dispute letters are decision support, not legal, accounting or tax advice. You are responsible for reviewing outputs before sending correspondence to a carrier and for any commercial position you take based on them. Automated extraction may contain errors.

Availability and changes

We aim for continuous availability but the service is provided without an uptime guarantee unless separately agreed in writing. We may modify or discontinue features, and will give reasonable notice of material changes that reduce core functionality.

Warranties and liability

The service is provided "as is" to the maximum extent permitted by law. Neither party is liable for indirect, incidental or consequential damages, or for lost profits or lost recoveries. Our aggregate liability is limited to the fees you paid for the service in the twelve months before the event giving rise to the claim.

Suspension and termination

You may stop using the service at any time. We may suspend or terminate access for non-payment, breach of these terms, or where required by law. On termination we will make workspace data available for export for a reasonable period before deletion.

Governing law

These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable there, and the courts of Montreal have exclusive jurisdiction, without prejudice to mandatory consumer or local law protections.
